Terms of sale

The commercial basis for orders placed through this site. Where a signed contract exists, the contract prevails; where a specific order departs from these terms, the order confirmation prevails for that shipment.

1. Scope

These terms apply to every quotation, order confirmation and shipment issued by RichTech Industrial Technology (Shanghai) Co., Ltd. unless a signed agreement states otherwise. Conditions printed on a buyer's purchase order that conflict with these terms are not binding unless we accept them in writing.

2. Quotations and validity

Quotations are valid for 30 days from issue unless stated otherwise. Prices exclude destination duties, taxes, and any inspection or certification required by the buyer's authorities. Prices are quoted on the Incoterms 2020 term named in the quotation; where no term is named, FOB Shanghai applies. Freight quoted separately is subject to carrier adjustment until the booking is confirmed.

3. Orders and payment

An order becomes binding when we issue a written order confirmation stating product, quantity, batch availability, price and delivery window. Unless the confirmation states otherwise, payment is 30% by T/T with the order and the balance against a copy of the bill of lading. A letter of credit is accepted where its terms are agreed before the order is placed; amendment charges arising from terms not previously agreed are for the applicant's account.

4. Packing and marking

Coatings in this range are dangerous goods and ship in UN-approved packaging in accordance with the IMDG Code, with the dangerous goods declaration issued for each booking. Pallet marks, neutral labels or buyer-supplied labels can be applied on request. Marking instructions must reach us before the goods are packed; labels applied after packing delay the booking.

5. Delivery and risk

Delivery dates are estimates based on production and sailing schedules current at the time of confirmation, and are not a guarantee against carrier delay. Risk passes in accordance with the Incoterms 2020 term named in the confirmation. Partial shipments are permitted unless the confirmation specifies a single shipment.

6. Inspection and claims

Visible damage or shortage must be notified in writing within 15 days of arrival, with photographs, container or seal numbers and batch numbers. Defects not detectable on receipt must be notified within 30 days. Material from the affected batch must be retained for inspection. Claims concerning coating already applied cannot be assessed where surface preparation or application conditions fall outside the TDS.

7. Warranty and liability

We warrant that goods conform to the manufacturer's TDS in force at the time of shipment, for 12 months from delivery. The warranty does not cover failure arising from preparation or application outside the TDS, contamination by other products, or site conditions not disclosed to us. Where a defect is established, our liability is limited to replacement of the affected material or refund of its invoiced value; we are not liable for consequential costs such as scaffolding, labour or downtime.

8. Technical data and selection

Technical values published on this site are transcribed from the manufacturer's TDS and the latest edition governs. Colour may differ within normal industrial tolerance between batches. Nothing on this site constitutes a specification, approval or design recommendation: final system selection and its approval remain the responsibility of the specifier or the buyer's engineer.

9. Dangerous goods and import compliance

Solvent-borne zinc-rich coatings are normally classified UN 1263, Class 3 flammable liquid. The buyer is responsible for holding any import licence, registration or prior notification required in the destination country, and for compliance with local storage and handling rules. We provide the MSDS, dangerous goods declaration and UN packaging certificate needed for the booking; we do not act as importer of record.

10. Force majeure

Neither party is liable for delay or non-performance caused by events beyond its reasonable control, including natural events, port closure, epidemic control measures, change in export or import regulation, or failure of a carrier. The affected party must notify the other within a reasonable time and the delivery date is extended accordingly.

11. Governing law and disputes

These terms are governed by the laws of the People's Republic of China. Unless the parties agree in writing to arbitration, disputes are submitted to the competent court at the place of the seller's registered address. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

12. Changes to these terms

These terms may be updated without notice. The version published on this page at the time the order is confirmed applies to that order. Where a signed contract exists, the contract prevails over this page.
